1. Acceptance of Terms
By creating an account, accessing, or using CoFoundry (the "Service"), you agree to be legally bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use CoFoundry. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into this agreement.
2. Account Registration
To access investment features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.
Identity Verification
We comply with KYC (Know Your Customer) and AML (Anti-Money Laundering) regulations. You may be required to provide government identification to fund your account.
Security
You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.
3. Platform Usage
We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service. You agree not to:
- Use the platform for any illegal purpose or in violation of any local, state, national, or international law.
- Attempt to manipulate investment data, voting systems, or crowd sentiment analysis tools.
- Scrape, crawl, or access the Service via automated means without our written consent.
4. Equity & Risk Disclaimers
Important Notice
Idea submission does not guarantee development, compensation, or equity. Equity is granted only upon incorporation and execution. Startup equity involves significant risk and may result in total loss of value.
CoFoundry is a platform for idea submission and company building. We are not a registered broker-dealer, investment advisor, or crowdfunding platform. The content on this platform is for informational purposes only and does not constitute financial or legal advice.
We do not guarantee the success, profitability, or performance of any company built through the platform. Equity ownership in startups carries substantial risk and may result in partial or total loss of value.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of CoFoundry Inc. and its licensors.
User Content
By posting content (e.g., investment thesis, comments) to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, perform, display, reproduce, and distribute such content.
Trademarks
The CoFoundry name and logo are trademarks of CoFoundry Inc. You may not use them without our prior written permission.
6. Limitation of Liability
IN NO EVENT SHALL CROWD BUILDER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
7. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms shall be resolved through binding arbitration in San Francisco, California.
